1. Acceptance of Terms

By accessing or using Picelo ("the Service"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service. These terms constitute a legally binding agreement between you and Picelo.

2. Description of Service

Picelo is an AI-powered product photography platform. You upload product images, select a workflow (food, craft, wall art, jewelry, garment, furniture, etc.), and our AI automatically analyzes your image and generates photorealistic, studio-quality scenes. You may optionally provide additional instructions to guide the output. You only pay for results you explicitly accept.

3. Eligibility & Account

• You must be at least 18 years old to use Picelo.
• You must sign in using a valid Google account via OAuth.
• You are solely responsible for all activity that occurs under your account.
• You may not create multiple accounts to abuse welcome credits, circumvent abuse-prevention cooldowns, or evade a suspension.

4. Credits & Payment

4.1 Credit System

Picelo operates on a credit-based system. Credits are the currency used to generate AI scenes and accept results.

• Welcome credits: New accounts receive free credits on signup. The exact amount may change at any time.
• Purchased credits: Additional credits can be bought through our packages via Razorpay (INR). Credits do not expire.

4.2 How Credits Are Charged

• Generation deposit: A small deposit is deducted when you initiate an AI generation. This is a down-payment toward the acceptance cost.
• Acceptance cost: The remaining balance of the full workflow cost is deducted when you accept a generated result. Costs vary by workflow type.
• Rejection refund: If you reject a result, the full deposit is refunded to your account automatically. You are never charged for results you do not use.
• System failure refund:If a generation fails due to a system error on our end or our providers' end, the deposit is automatically refunded in full.

4.3 Abuse Prevention

The rejection-refund mechanism is designed to protect users from paying for poor results. However, systematic generation and rejection of results to exploit the refund system is prohibited. We monitor rejection patterns using an automated system. Exceeding a defined rejection threshold within a rolling time window triggers a temporary cooldown on your account. Repeated abuse may result in permanent account suspension.

4.4 No Monetary Refunds on Credit Purchases

Credit purchases are non-refundable once credits have been added to your account. Because unused credits never expire and you are only charged for results you choose to accept, we do not offer monetary refunds on credit packages. If a payment processing error occurs (e.g., you were charged but credits were not added), contact us at support@picelo.studio for resolution.

5. Intellectual Property & Ownership

5.1 Your Uploaded Content

You retain full ownership of all images you upload to Picelo. By uploading, you grant us a limited, non-exclusive, royalty-free license to process, analyze, and transmit your images to our AI providers solely to deliver the generation results you requested. This license ends when the image is deleted from our system.

5.2 AI-Generated Output — Your Rights

Once you accept and pay for a generated image, you receive a perpetual, worldwide, non-exclusive license to use that image for any lawful commercial or personal purpose — including e-commerce listings, marketing materials, social media, catalogues, and print.

Mandatory AI Labeling:In compliance with applicable regulations, all images generated by Picelo are embedded with metadata and/or non-visible watermarks identifying them as "AI Generated." You may not tamper with, remove, or obscure these identifiers.

We do not guarantee exclusivity of generated scenes. Similar outputs may be produced for other users with visually similar products.

5.3 Picelo's Intellectual Property

The Picelo platform — including its design, AI workflows, brand assets, prompts, and codebase — is proprietary. You may not reverse engineer, copy, or redistribute any part of the platform.

6. Prohibited Uses

You agree not to use Picelo to:

• Create deepfakesor any synthetic images that misrepresent a real person's identity, actions, or likeness without their explicit consent.
• Generate non-consensual intimate imagery or any content that sexualizes individuals without their consent.
• Produce false or misleading product imagery with intent to deceive consumers (e.g., making a product appear significantly different from its actual form).
• Create fraudulent documents — including but not limited to fake labels, certificates, counterfeit packaging, or forged goods.
• Upload content that is illegal, obscene, defamatory, or infringes on third-party intellectual property rights.
• Upload images of people (including models) without the right to commercially process their likeness.
• Attempt to extract, replicate, or reverse engineer our AI prompts, models, or scene generation pipeline.
• Use automated bots, scripts, or scrapers to interact with the platform without written consent.

Violation of this section may result in immediate account suspension or termination without refund of remaining credits, and may be reported to relevant law enforcement authorities where required by law.

7. AI Output Disclaimer & Liability Shield

AI-generated content is provided "as is." You expressly acknowledge that:

• AI outputs may contain visual artifacts, hallucinations, anatomical inaccuracies (such as extra fingers or distorted limbs), or inconsistencies that differ from the original product.
• Generated scenes do not guarantee dimensional accuracy, color fidelity, or material representation. Generated images should not be used as substitutes for technical specifications.
• You are solely responsible for reviewing generated content before using it commercially. The accept/reject system exists for this purpose — use it.
• Picelo is not liable for any commercial loss, consumer complaints, or regulatory issues arising from your use of AI-generated images.
• Results may vary between generations even with identical inputs, due to the probabilistic nature of generative AI models.

8. Authority Orders & 3-Hour Takedown

Picelo is committed to platform safety and legal compliance. In accordance with the 2026 IT Rules:

• Emergency Takedowns: We will act to remove or disable access to any unlawful content within 3 hours of receiving a valid order from a government agency or authorized court.
• Traceability: We maintain technical records allowing us to trace any generated image back to the user account responsible for its creation. This data will be shared with authorities only upon receipt of a valid legal order.

9. Service Availability

We strive for high availability but do not guarantee uninterrupted access. We may suspend access for maintenance or due to circumstances beyond our control. Generation deposits are automatically refunded for any system-side failures.

10. Limitation of Liability

To the fullest extent permitted by applicable law, Picelo shall not be liable for:

• Indirect, incidental, consequential, or punitive damages arising from use of the Service.
• Loss of profits, revenue, business, or data.
• Any claim arising from AI-generated content you use or distribute commercially.
• Third-party AI provider outages or quality degradation.

Our total liability for any claim shall not exceed the total credits/amount you paid us in the 12 months preceding the claim, or ₹5,000 — whichever is lesser.

11. Account Termination

You may delete your account at any time. Upon deletion, your profile, uploaded images, and generated content will be permanently removed. Payment records are retained as required by law.

We reserve the right to suspend or terminate accounts that violate these terms, with or without prior notice depending on the severity of the violation.

12. Governing Law

These terms are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts in Karnataka, India.

13. Periodic Warnings & Changes to Terms

Misuse Warnings: As required by law, we will send you periodic notifications (at least once every 3 months) via email or in-app alerts to remind you of your obligations and the legal penalties associated with the misuse of AI-generated content.

We may update these terms at any time. Material changes will be communicated through the platform or via email at least 7 days before taking effect. Continued use after the effective date constitutes acceptance.
